Welcome to Bayline Marine LLC (“Bayline Marine,” “we,” “our,” or “us”). By accessing or using our website, services, listings, or communicating with us in any manner, you agree to be bound by the following Terms of Service (“Terms”).

1. Nature of Services

Bayline Marine is a boat brokerage and marketing platform based in Minnesota. We facilitate the marketing, promotion, and potential sale of vessels on behalf of private sellers. Bayline Marine is not the owner or seller of most vessels listed and does not take title to listed vessels unless explicitly stated. All vessels are offered by third-party sellers.

2. No Warranty / “As-Is” Sales

All vessels listed, marketed, or facilitated by Bayline Marine are sold “AS IS,” “WHERE IS,” and WITH ALL FAULTS, without any warranties of any kind, whether express or implied. This includes, without limitation, warranties relating to mechanical condition, seaworthiness, structural integrity, engine performance, cosmetic condition, title status, or history. Bayline Marine makes no representations or guarantees regarding the condition, accuracy, or completeness of any vessel listing. Buyers are solely responsible for inspecting the vessel, verifying all information, and conducting their own due diligence prior to purchase.

3. No Returns, Refunds, or Exchanges

All vessel sales facilitated through Bayline Marine are final. There are no returns, no refunds, and no exchanges under any circumstances. Once a transaction is completed between a buyer and seller, Bayline Marine has no obligation to reverse, refund, or otherwise intervene in the transaction.

4. Role of Bayline Marine

Bayline Marine acts solely as a broker and facilitator between buyers and sellers. Bayline Marine does not guarantee a successful sale, does not guarantee the performance of any buyer or seller, and does not act as a party to the final purchase agreement unless explicitly stated in writing. Bayline Marine does not assume responsibility for enforcing agreements between buyers and sellers. All final agreements are made directly between the buyer and seller.

5. Buyer Responsibility

Buyers acknowledge and agree that they are solely responsible for verifying vessel condition, obtaining inspections or surveys, confirming title and ownership status, securing financing if applicable, and completing all due diligence prior to purchase. Failure to perform proper due diligence does not create any liability for Bayline Marine.

6. Listings and Information Accuracy

All vessel information is provided by sellers or third parties. While Bayline Marine may review listings, we do not guarantee the accuracy, completeness, or reliability of any information provided. Bayline Marine is not liable for any inaccuracies, omissions, or errors in vessel descriptions, specifications, or representations.

7. Showings, Inspections, and Risk

By attending a showing, inspection, or otherwise interacting with a vessel, all individuals acknowledge that such activities are conducted at their own risk. Bayline Marine is not liable for any injury, damage, or loss arising from such activities. Mechanical demonstrations, inspections, and interactions with vessels inherently involve risk, and all participants assume full responsibility for their participation.

8. Limitation of Liability

To the fullest extent permitted by law, Bayline Marine shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of use, loss of profit, or loss of value. This limitation applies to any issues arising out of or related to vessel condition, mechanical failures, listing inaccuracies, transaction disputes, or any interaction between buyers and sellers, whether occurring before, during, or after a transaction.

9. Indemnification

You agree to indemnify, defend, and hold harmless Bayline Marine and its owners, agents, affiliates, and representatives from and against any and all claims, damages, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the website or services, your participation in any transaction, your failure to perform due diligence, or any dispute between a buyer and seller.

10. Financing Disclaimer

Bayline Marine may connect buyers with third-party financing providers. Bayline Marine does not provide financing directly and does not guarantee approval, rates, or loan terms. Bayline Marine is not responsible for any decisions made by lenders. Buyers are free to use any lender of their choosing.

11. No Guarantee of Availability or Sale

Bayline Marine does not guarantee vessel availability, pricing accuracy, or that any listed vessel will remain available for purchase. Listings may be modified or removed at any time without notice. Bayline Marine does not guarantee that any transaction will be completed.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota.

13. Changes to Terms

Bayline Marine reserves the right to modify these Terms at any time. Continued use of the website or services after any such changes constitutes acceptance of the updated Terms.
